Asset Management – Client Service & Business Platform - Corporate Governance Manager (VP) – London


Summary


JPMorgan Asset Management are looking for a Corporate Governance Manager to join a team providing board management services to the retail funds domiciled in the UK, Ireland and Luxembourg.

The team provides a high-level of support to the boards of the funds through an effective and consistent governance approach using the highest governance standard from each jurisdiction.


The candidate will be responsible for managing governance and regulatory requirements across these jurisdictions including oversight of shareholder documentation and meetings.  In addition the successful candidate will assist with team governance matters including oversight of action items arising from board meetings.  The candidate will work in a board management team that consists of 8 individuals.


General Responsibilities:

 

  • Review and update regular governance items that go to the boards, as appropriate, taking into account regulation, industry standards and best practice;

  • Review all accounts to ensure consistency across applicable fund ranges, ensuring that the content remains clear, concise and ahead of the curve in terms of competitors.  Accounts should read well and should also be an accurate representation of the governance process adopted by each board;

  • Review AGM & EGM documents to ensure consistency and clarity to shareholders;

  • Project manage all AGMs & EGMs;

  • Track action items for all boards and work with the Company Secretaries to ensure that they receive the necessary focus so that they are completed in a timely manner;

  • Liaise with board service providers including lawyers, accountants, depositaries as required;

  • Review, or arrange for review of all board policies on a regular basis;

  • Review all team policies and procedures;

  • Understand the fund governance requirements in each jurisdiction and engage with the industry to ensure that the boards and CoSec team are appropriately informed of any developments in these areas;

  • Assist in managing team training sessions, ensuring that the team’s knowledge as a whole is kept up to date;

  • Assist with specific and ad hoc projects as instructed from time to time

 



 

Requirements


Reporting to the EMEA Head of the Board Management & Registrations teams, the ideal candidate will:

  • be able to work proactively under own initiative, prioritise, handle time pressure and manage multiple projects at the same time with flexibility to adapt to shifting expectations;
  • have a high level of attention to detail;

  • be available to present at board meetings;

  • have demonstrated experience collaborating with multiple teams, coordinating across different cross-functional initiatives, and reaching consensus with diverse stakeholders;

  • have strong written, verbal, interpersonal and influencing skills with the ability to interact with colleagues at all levels and achieve goals without direct control over resources

  • an effective communicator with maturity and gravitas to deal effectively at senior level.

  • consistently strive for improvements in process and working practices;

  • be self-motivated, as well as a strong team player with a keen sense of ownership and desire for continuous improvement;

  • be well-organised and confident, with excellent planning skills; and

  • have a good appreciation of the principles of good corporate governance.

Qualifications

  • Excellent project management skills;
  • Experience and knowledge of funds industry and in particular the funds regulatory environment;

  • Excellent communication and prioritisation skills
