Our business
The Corporate & Investment Bank (CIB) is one of J.P. Morgan’s core businesses, and a global leader across banking, markets and investor services. The Legal Group which supports the CIB provides transactional and strategic legal support as required for the various businesses within the CIB and is organized across different practice groups. 
The Sub-Saharan Africa (SSA) Legal Department is looking for a corporate lawyer to join a small team of lawyers in Johannesburg supporting the EMEA CIB business.  The role will entail interaction with Mergers and Acquisitions (M&A), Debt and Equity Capital Markets (DECM), the Global Corporate Bank (GCB), including loans and trade finance, Industry, Risk and Country Coverage investment bankers, as well as Client Executives, on transactions where J.P. Morgan in SSA acts in an advisory role or as a provider of finance for external clients.
Key responsibilities:
  • providing general counsel and support to the business across a wide range of issues and subject matters and at various levels of seniority
  • reviewing, advising on and negotiating advisory related documentation, including engagement letters and confidentiality agreements, and advising on conflicts management
  • reviewing, advising on and negotiating financing related documentation including LMA documentation and opinions, for both lending and capital markets transactions, including terms sheets, loans, trade finance and credit support agreements and related documentation, debt and equity capital markets documentation such as underwriting agreements and RFP responses
  • attending business review and commitment committees and valuation/fairness opinion committees as representative of the SSA Legal team and drafting and reviewing valuation and fairness opinions
  • co-ordination as needed with the CIB Legal Practice Groups for M&A, DECM, and GCB
  • co-ordination with and engagement of external counsel as and when required
The role requires an articulate, responsive and commercially minded self-starter who is capable of working confidently and effectively across products and at all levels of an organization.
Essential skills
  • Candidates should have a practical working knowledge of the SSA Legal requirements applicable in the context of a full services corporate and investment bank, including M&A and corporate banking transactions
  • Lawyer must be licensed to practice law and a member in good standing in the state/jurisdiction in which the position is based or otherwise in compliance with the in-house counsel registration rules of that state/jurisdiction
  • Domestic and cross border deal execution experience accumulated at a leading law firm  
  • In house corporate experience at a globally recognized investment bank would be an advantage, but is not essential
  • Ability to work under pressure and to tight deadlines including the ability to prioritise
  • Good drafting and communication skills
  • Ability to interact effectively with a broad range of clients and across levels of seniority, both within the firm and externally
  • Attention to detail – high level of accuracy
Educational Qualifications
  • BComm  - LLB preferable or similar financial tertiary qualification
  • Experience in a corporate law department or law practice
