STRUCTURED PRODUCTS LAWYER
We are looking for a securitised derivatives and structured products lawyer to work in the Markets Practice Group of the Legal Department within the Corporate Investment Bank in EMEA (CIB), with a particular focus on European collateralised loan obligation transactions (CLOs), repackagings and emerging markets structured notes. We are based at 25 Bank Street, Canary Wharf in London.
The J.P. Morgan European primary CLO desk is engaged by third party CLO managers to act as arranger and placement agent of European CLOs. CLO transactions typically involve working with the CLO desk to draft engagement letters and to review warehouse documents, CLO issuance documents and opinions drafted by external counsel. J.P. Morgan uses a number of repackaging programmes and the transactions issued under these programmes may involve any of the following asset classes – credit, equities, rates, commodities or emerging markets. Termsheets for repackagings are drafted in-house and all transaction documents are drafted by external counsel. The candidate will work with other team members in maintaining J.P. Morgan’s repackaging programmes, adding functionality to existing programmes and establishing new issuance platforms. The emerging markets structured notes are issued from J.P. Morgan’s balance sheet structured products programme and are linked to emerging markets currencies, bonds or reference entities. Termsheets for the structured notes are drafted in-house and all transaction documents are drafted by external counsel.
The candidate’s role will include identifying and advising the business on legal, regulatory and cross-border issues in delivering products to the end market and assisting with the structuring, execution and documentation of transactions. The candidate will be involved in an interesting mix of transactions ranging from broadly syndicated CLOs offerings to highly customised, complex repackagings and structured notes that are tailored to a sole investor’s investment criteria.
Essential skills, qualifications and experience
This role would suit an AVP or VP level lawyer with strong academics and preferably experience with a top tier investment bank or top tier law firm.
Team player, confident and proactive, with interest in working closely with the business
Exceptional organisational and communication skills
Excellent drafting skills
Experience with debt capital markets, structured products and derivatives documentation (including familiarity with ISDA derivative definitions in particular credit)
Strong interest in transactional and policy work, including regulatory implementation
Good commercial awareness, with ability to advise the business on cross-border issues spanning across multiple asset classes and product wrappers
