Primary Responsibilities will include, among other things, the following:
  • Providing analysis on legal issues, and assist business partners to make business judgments by providing legal support and advice to JPM’s Markets businesses in Japan and cross border, including both transactional and non-transactional (such as regulatory matters), as well as both complex and flow derivatives across all asset classes.
  • Drafting and negotiating term sheets and all relevant documents related to the Markets businesses in Japan and cross-border, as well as reviewing transactional documents.
  • Monitoring changes in law/regulations and analyzing laws/regulations to evaluate and assess impacts on the Japan Markets business. Advising on the regulatory aspects of both OTC and securitized derivatives in Japan and cross border, as they relate to existing and new global, regional and local regulations, including but not limited to, FIEA, Dodd Frank, EMIR, MiFID II etc.
  • Collaboration/coordination with Business and Compliance and Controls teams regarding legal and regulatory matters pertaining to the Japan Markets businesses, whether originated in Japan or cross-border, to identify and implement policy, process and procedural changes to ensure compliance with changing laws/regulations.
  • Legal advice and policy development for local, regional or global new business initiatives, products, templates and platforms, and representing the Japan Markets businesses in this respect.
  • Participating in domestic/regional/global project teams relating to regulatory developments, requests, exams and/or audits.
  • Assisting local internal Legal teams supporting ISDA, structured note and repackaging documentation.
  • Assisting in developing a disciplined control environment within JPMorgan Chase, and identifying and mitigating risks (legal and other).
  • Managing outside counsel for any one of the above work streams.
  • Admission to practice law in Japan with at least 4-6 years of relevant experience gained at a top tier law firm or financial institution.
  • Significant experience in Markets businesses - structured products (including structured notes and repackagings) and OTC documentation in a wide range of asset classes including equity, fixed income, foreign exchange, commodities, and the regulatory issues associated therewith.
  • Strong drafting, negotiation and legal analytical skills.
  • Strong research and project management skills.
  • Experience in transactional workflow and ability to deal with tight deadlines.
  • Excellent communication and interpersonal skills, with ability to work well in a cross-functional/locational team to achieve common goals.
  • Effective and efficient problem solver; strong multi-tasking skills. Self-starter; ability to deliver high-quality results under tight deadlines.
  • Ability to prioritise business needs and goals, as well as identifying and escalating material issues timely and appropriately.
  • Proficiency in Word, PowerPoint, Excel.
  • Fluency in English and Japanese.
  • Attorney must be licensed to practice law and a member in good standing in the state/jurisdiction in which the position is based or otherwise in compliance with the in-house counsel registration rules of that state/jurisdiction.
