We are seeking a Cash Equities Lawyer to provide legal advisory and negotiation support to the EMEA cash equities sales and trading businesses. The successful candidate will be based in our Canary Wharf offices and work within a team of three other Cash Equities lawyers. The ideal candidate will need to be a team player and be flexible and willing to take on new challenges as they arise.
The units supported include cash sales, single stock/program trading, electronic/algorithmic trading and the commission management solutions teams. The team works closely with legal colleagues who support the fixed income trading business. Given the global nature of this business, the successful candidate will have the opportunity to be involved in cross-border initiatives, working alongside legal counterparts in APAC and the US.
Specific responsibilities would include:
negotiating brokerage terms of business, commission sharing arrangements, give-up agreements and electronic connectivity terms;
reviewing and negotiating custody and clearing agreements as they relate to the cash equities business;
reviewing and negotiating documentation relevant to returns of shareholder capital for issuers, including buyback arrangements and tender offers;
reviewing membership (and related) contractual and other documentation for exchanges, including emerging market exchanges and multilateral trading facilities;
advising senior business heads on strategic/macro issues that have legal implications for the business, including implementation of MiFID 2;
partnering with compliance and other control functions, to provide legal input/assistance on new business initiatives, regulatory inquiries, regulation implementation exercises and other internal projects;
developing/updating templates and reviewing internal policies and procedures pertaining to this business; and
instructing and liaising with external counsel, as required (including managing legal spend).
Experience of the above responsibilities is advantageous but we would also consider candidates with transactional experience (particularly of equity capital market transactions) and/or with knowledge of FCA Rules/MiFID.
Lawyer must be licensed to practice law and a member in good standing in the state/jurisdiction in which the position is based or otherwise in compliance with the in-house counsel registration rules of that state/jurisdiction
